For the American opportunist, this job was interesting from other points of view. Joe Schnaier got the chance to dig under this industry. Every secret he could find was useful in a longterm project. At that time, he was also in the leadership of the National Resources Defense Council, which was heavily militating for a safe environment. These two fields were relatively different, yet they had a lot of things in common. It was an interesting venture; therefore he stuck to the company for almost two decades. He left it after 18 years, in 2008. Working hard can only get you so far. There is no limit to your profit if you learn to work smart. And you will not have to sacrifice any part of your life or time with your family to dramatically increase your net profits.

Many new business owners are unaware of the important obligations that must be upheld AFTER they have formed a new business entity. All too often there are accounts of entrepreneurs starting a business, incorporating that business, then failing to comply with various government imposed formalities and filings. There are many ongoing government requirements that small business owners need to comply with, namely: annual government reports/returns and fees, notice of a name change, notices of change of registered office, directors and in certain jurisdictions, their shareholders. These forms are different than tax related forms such as tax returns, GST/PST filings and payroll deductions.

In addition to government filing requirements, there are many other internal formalities small business owners should undertake. A corporation must keep internal records for important decisions that are made by its directors and shareholders. These include any number of matters, from appointing a new officer, paying a corporate dividend (profit), changing the registered office, issuing or transferring shares, approving the financial statements and electing directors, among others. Typically, most corporations prepare “annual minutes” when many of these are decided. These can be done at an annual meeting where “minutes” are signed or they may be papered by records signed by the directors and shareholders, in lieu of such meetings. The decisions are recorded and kept in the corporation’s minute book along with all other important corporate documents.

The combination of these two obligations is what lawyers and accountants typically refer to when they speak about “corporate maintenance” and “maintaining your corporation”. Good corporate maintenance results from the prompt preparation of proper documentation kept with the records of the corporation, as well as the filing of the government forms and notices keeping the relevant information up to date on government registries. Failure to respect these obligations may lead to government fines and even the dissolution (closing) of a corporation or losing the protection of limited liability by piercing the corporate veil.

Avoiding the Piercing of the Corporate Veil

In most situations, small business owners form corporations, in part, to separate their personal assets from those of their company. However, if the business does not perform all the necessary steps to ACT like a corporation, including paying annual fees, filing annual reports with the government in a timely fashion and holding the necessary meetings, it may fall victim to what is called “piercing the corporate veil.”

The veil is the shield of limited liability that stands between the owner of a limited liability company, and the business’s creditors. Ordinarily, because of this valuable legal shield created when you formed your business entity, the business’s creditors can only seek payment out of the business’s assets.

When this veil is pierced, the business’s creditors can reach the owner’s personal assets outside of the business. In short, limited liability, perhaps the most sought after attribute of a corporation, is lost.

To avoid the piercing of the corporate veil due to failing to maintain corporate formalities, it is very important that small business owners are aware of the government and internal regulations imposed on corporations. There are many ways in which owners can keep track of these regulations. The most common ways are to contact the state directly for an outline of requirements, subscribe to a service or hire a professional or individual to be responsible for these filings. Whichever means the small business owner chooses to comply with these regulations is typically a matter of personal preference. It is, however, very important that they understand that even failure to comply could be detrimental to the life of their business.

Annual Filings Deadlines and Fees

As mentioned above, each year a corporation must update the information provided in its initial filing by reporting an annual filing. The annual filing must be filed within the prescribed dates. The annual filing must be accompanied by the amount of the annual filing fee (amount varies depending on jurisdiction). Failure to comply may lead to penalties and even dissolution. As such, corporations should pay careful attention to filing

Every time an accountant told me to put together a budget for my company, my response was – “When I get the time I will!” I just never seem to get the time.

For several years when I first started my company I never paid attention to a budget. I knew if I made money by looking at my financial statements and that was good enough for me. Also, every time I tried to put something together I never compared my actual financials to the budget numbers I created.

Two years ago, I decided to take a different approach. I developed a forecast for a quarter of what I expected income and expenses to be. I came up with the figures based on the previous year’s actual numbers. It was easy to look at last year and just add a percentage increase to the numbers. Then I took the time to review once a month the forecast with where we were at that point.

By using this system of creating a forecast and comparing that to actual financials on a monthly basis I was able to focus on income areas that were falling behind and stop expenses that I didn’t need to make.

I am an avid fan of informational products. I buy thousands of dollars every month. With the forecast in place I caught myself spending more then I allocated and was able to just cut back the next month. The great thing about this system is that you are not locked into a specific figure each month but yet you stay within guidelines of where you want to be before the year or quarter finishes.

The best way to set this up is to use a financial program such as Quickbooks or Peachtree. Track all income and expenses using the software. The next step is to print financial statements that track what you have done. Then take the numbers of your financial statements and increase your income by the percentage you want to raise revenue by. Then look at expenses and determine what categories will increase based on the sales increase. This will become your financial projections.

The last step is to review your actual financial statement (Income Statement or Profit and Loss) to your projections. Have systems in place to increase revenue and decrease expenses as necessary.

So where do you start? Here’s the formula I recommend.

Planning. You don’t need a 50 page business plan. But you do need some clear, measurable goals with specific ‘actions’ you need to take to achieve them. Written goals and a simple action plan provide you with focus and clarity. So take the time to write down what you WANT (results or outcomes) and what you need to DO (actions) to make it happen.

Products/Services. When was the last time you actually thought about the products or services you offer? It’s more than just ‘what price should I charge’. Which ones are most profitable, which produce the most sales? Do your products and services still meet the needs of your target customers or do they need a facelift? Technology, competition and your customer needs change over time – make sure your products and services keep up!

Promotion. Sales don’t just happen. So what are you doing to attract new customers and keep existing ones coming back and referring others? Most owners associate promotion with marketing for new customers – and invest few (if any) resources on current customers. Big mistake. Make sure your plans also include tactics to turn your current customers into raving fans – who spend more, buy more often and refer other quality people to your business.

Processes. Streamlining and standardizing procedures make daily operations easier, efficient and more effective, whether you are there or not. They are also a key to increased profitability. As you plan for the coming year, make systematizing your business more of a priority. Start with just a few. Focus on those that save you time, increase sales, or fix problems that consistently erode profit.

People. No business operates successfully in a vacuum – we all need help from others. While we often associate people with employees, building a strong network of contractors, vendors and alliance partners for your business is equally important. Your needs will vary based on your business – but most small businesses have an opportunity to improve in this area. Have a method for hiring or developing new relationships with people who are committed to your customers and the success of your business.

Personal Development. As you grow and improve, so will your business. We are all familiar with the phrase, knowledge is power, but it also translates to earnings or income. And it doesn’t require a lot of time or money – just a commitment to learning and building skills and knowledge. Here’s a few things to consider:

Invest 15 minutes a day reading and you will read about 12 books a year.
Turn drive time into learning with audio books.
Attend interactive workshops or webinars to improve knowledge gaps or simply get new ideas.
Meet with and build relationships with other successful business owners so you can share information and learn.
Work with a mentor or business coach who can help you find hidden opportunities, provide shortcuts to results and accountability to get more done.

Profit. You don’t need to be an accountant or financial guru, but you do need to track and understand the numbers that drive your business – beyond just sales. Here’s a few others to consider: average sale per customer or transaction, number of leads, revenue per employee, average accounts receivable, gross profit margins, customer retention rates and net profit. Monitor them and focus on activities that help to improve them – especially gross profit margins and net profit. If you keep them at the center of what you do, your small business will continue to serve your needs and the needs of your people and customers.
